Terms of Service

1.1.These Terms of Service (hereinafter referred to as the "Terms") constitute a legally binding agreement between PE "Klimenko Iurii" (Registration No. 264.1297939, Tax ID (INN): 72978355), located at RA, Yerevan, Kievyan str., 2, apt. 18 (hereinafter referred to as the "Provider", "we", "us"), and the user (hereinafter referred to as the "User", "you"), governing the use of the "MEMO" service via the Telegram bot @memo_am_bot (hereinafter referred to as the "Service").

1.2.By starting the bot, uploading photos, or making a payment, you fully and unconditionally accept these Terms. If you do not agree with these Terms, you must immediately stop using the Service.

2.1.Assemblix is a platform for creating, managing, and deploying AI agents and workflows. The Service provides tools for visual workflow construction, agent configuration, session memory management, and API access for integration with User's applications.

2.2.Users can connect their own API keys from AI providers (OpenAI, Anthropic, etc.) or use platform-provided credits to execute workflows.

2.3.The Service is provided on an "as is" basis. The Provider does not guarantee uninterrupted service availability or specific AI model response quality, as these depend on third-party AI providers.

3.1.The User agrees to use the Service in accordance with its intended purpose and applicable law.

3.2.The User must not:

• Use the Service for illegal activities or create content that violates third-party rights
• Create agents or workflows designed for harm, fraud, spam, or privacy violations
• Attempt to gain unauthorized access to the Service, its servers, or related systems
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Resell or distribute access to the Service without the Provider's written consent
• Overload the Service with excessive requests that may disrupt its operation

3.3.The User is fully responsible for:

• Content of prompts and data processed through the Service
• Compliance with third-party AI provider terms (OpenAI, Anthropic, etc.)
• Costs associated with using their own API keys

4.1.User Workflows and Data. The User retains full ownership of all workflows, agent configurations, prompts, and data created or uploaded to the Service. The Provider does not claim any rights to User's content.

4.2.AI Model Outputs. Outputs generated by AI models through the Service belong to the User, subject to the terms of the respective AI provider (OpenAI, Anthropic, etc.). The User is responsible for compliance with third-party AI provider terms.

4.3.Service IP. All rights to the Assemblix platform, including but not limited to its software, infrastructure, documentation, and visual design, are owned by the Provider. Users may not copy, modify, or reverse engineer the Service.

4.4.API Keys. Users are solely responsible for the security and usage of their API keys. The Provider is not liable for any charges incurred by third-party AI providers due to User's API key usage.

5.1.Services are paid for using the payment methods available at the time of purchase. Prices are displayed before payment confirmation.

5.2.Due to the digital and automated nature of the Service, all sales are final and non-refundable once processing has started.

5.3.A refund may be considered only in cases where the Service fails to deliver the result due to a technical fault on the Provider's side. Refund requests must be submitted via @nmamizerov or by email to nmamizerov@gmail.com, together with proof of payment.

6.1.To the maximum extent permitted by applicable law, the Provider shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the use of the Service.

6.2.The Provider is not responsible for temporary service interruptions caused by technical maintenance or force majeure events.

7.1.These Terms shall be governed by and construed in accordance with the laws of the Republic of Armenia.

7.2.Any disputes arising out of or relating to these Terms shall first be resolved through pre-trial negotiations. If no resolution is reached within 30 days, the dispute shall be submitted to the competent courts of the Republic of Armenia.
